Cint legal entity update (US)

Overview

Cint is harmonizing our legacy business entities worldwide and creating brand consistency. The first phase of this process is being rolled out in our US region.

Effective 1st august 2023: the legacy Lucid US entity, Lucid Holdings, Inc., was renamed to Cint USA, Inc.

Effective 1st october 2023: Cint USA, Inc. (f/k/a Lucid Holdings, Inc.) and legacy Cint US entities Cint USA Inc., P2Sample Inc., and Points2Shop LLC will be merged. The legacy Cint entities will thereby cease to exist. As a result, all business activities in the US will be consolidated under the new Cint USA, Inc. entity.

What is the impact on legacy Lucid customers?

This means that from october 1st, 2023, the following will happen:

• Contracts such as NDAs, MSAs, SOWs, etc., will be executed under the new Cint entity, Cint USA, Inc

• Templates/contracts that use Cint AB as the contracting entity are unaffected by this change

• Invoices will be updated with a new layout and company name.

• On october 1st, payments for invoices are sent to the current bank account but with the new company name, Cint USA, Inc., see information below.

What is the impact on legacy Cint USA and P2Sample customers?

This means that from october 1st, 2023, the following will happen:

• Contracts, such as NDAs, MSAs, SOWs, etc., will be executed under the new entity.

• Existing contracts may require a short amendment to reflect the new Cint entity. Customers concerned will receive separate communications from the Cint legal team.

• Templates/contracts that use Cint AB as the contracting entity are unaffected by this change.

• Invoices will be issued from Cint USA, Inc (f/k/a Lucid Holdings, Inc)

• Invoices will have a new layout.

• On october 1st, payments for invoices are sent to the new bank account, see the information below.

What is the impact on Lucid Holdings supply partners?

No action is required for legacy Lucid Holdings supply partners. Payments will still be proactively paid as usual.

What is the impact on Cint USA and P2Sample supply partners?

• Invoices should from october 1st be issued to Cint USA, Inc

• Invoices should from october 1st be sent to a new email address.
